Welcome to Color Leaves. These Terms of Service govern your use of our website and mobile app development services. By accessing our website or engaging our services, you agree to be bound by these terms.

1. Services

Color Leaves provides mobile app development services including but not limited to:

• Android app development
• iOS app development
• Cross-platform app development (React Native, Flutter)
• Mobile app UI/UX design
• App maintenance and support
• Technical consultation

2. Engagement Process

Project Proposal

Upon receiving your project requirements, we will provide a detailed proposal including scope of work, timeline, and cost estimate. The proposal is valid for 30 days from the date of issue.

Agreement

Project commencement is subject to mutual agreement on the proposal terms and receipt of the agreed advance payment. A separate Service Agreement may be executed for larger projects.

3. Payment Terms

• Payment structure will be defined in the project proposal
• Typical structure: 40% advance, 30% at milestone, 30% on completion
• All payments are to be made in Indian Rupees (INR)
• Payments are non-refundable once work has commenced
• Delayed payments may result in project delays
• GST will be charged as per applicable rates

4. Intellectual Property

Client Ownership

Upon full payment, the client will own all intellectual property rights to the custom code, designs, and deliverables created specifically for their project.

Color Leaves Rights

Color Leaves retains rights to:

• Reusable components, libraries, and frameworks developed internally
• Showcase the project in our portfolio (with client permission)
• Use generic solutions developed during the project for future projects

5. Confidentiality

Both parties agree to maintain confidentiality of all proprietary information shared during the engagement. This includes but is not limited to:

• Business strategies and plans
• Technical specifications and source code
• User data and analytics
• Financial information

Confidentiality obligations survive the termination of the engagement.

6. Project Timeline

Timelines provided in proposals are estimates based on the defined scope. Actual timelines may vary due to:

• Scope changes or additions
• Delays in client feedback or approvals
• Third-party dependencies
• Unforeseen technical challenges

We will communicate any significant timeline changes promptly.

7. Client Responsibilities

The client agrees to:

• Provide clear and complete project requirements
• Provide timely feedback on deliverables
• Provide necessary access, credentials, and content
• Make payments as per agreed schedule
• Designate a point of contact for communication

8. Warranty and Support

We provide a 30-day bug-fix warranty after project delivery for issues arising from our development work. This warranty does not cover:

• Issues caused by client modifications
• Third-party service disruptions
• New feature requests
• Changes in app store policies

Extended support and maintenance packages are available separately.

9. Limitation of Liability

Color Leaves shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits or business opportunities
• App store rejection for policy violations beyond our control
• Third-party service failures

Our total liability shall not exceed the amount paid by the client for the specific project.

10. Termination

Either party may terminate the engagement with 15 days written notice. Upon termination:

• Client shall pay for all work completed up to termination
• Color Leaves shall deliver all completed work and documentation
• Confidentiality obligations continue to apply

11. Dispute Resolution

Any disputes arising from these terms shall be resolved through:

1. Good faith negotiation between parties
2. Mediation if negotiation fails
3. Arbitration under Indian Arbitration and Conciliation Act

All disputes shall be subject to the exclusive jurisdiction of courts in Pune, Maharashtra.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of India.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting on our website. Continued use of our services constitutes acceptance of modified terms.
